Purpose
Build a defensible R&D tax credit workpaper package that satisfies both the IRC §41 four-part test and the new Form 6765 Section G business-component-level disclosure, and reconciles the credit calculation with the taxpayer's IRC §174A research and experimental (R&E) expenditure treatment under the One Big Beautiful Bill Act of 2025 (OBBBA). For small businesses with average gross receipts ≤ $31M, the skill also drafts the retroactive §174A election memo for amended tax years 2022, 2023, and 2024 (election deadline July 6, 2026). Produces a QRE schedule by business component, a §41 qualification memo per project, a wage-nexus workpaper (direct / supervision / support split), a contract-research and supply workpaper, and the Section G narratives the IRS now requires on originally filed returns for tax years beginning after 2025. When to Use
Use this skill whenever a client has technical development activities — internal software, process improvements, manufacturing engineering, product redesign, prototype fabrication, formulation work, or in-house tooling. Required any time the firm files Form 6765 for a tax year beginning after 2025 (Section G mandatory for most filers), any time the client amends 2022–2024 returns to retroactively expense domestic R&E under the new §174A small-business window, when a QSB elects the §41(h) payroll tax offset, when an R&D credit is selected for audit (IRS Research Credit Audit Technique Guide, IRM 4.51), or when a buyer or lender requests an R&D credit diligence package. Works equally well for C-corp, S-corp, partnership, and sole proprietor filers.
Required Input
Provide the following:
- Entity profile — Legal name, EIN, entity type, state(s) of operation, fiscal year-end, industry and sub-industry (NAICS), prior-year gross receipts for each of the last four years (for QSB and ≤$31M small-business tests), and whether the taxpayer is part of a controlled group under §41(f).
- Project inventory — For each potential business component: project name, internal project ID, high-level description, business purpose, technical uncertainty addressed, the alternatives evaluated, the process of experimentation used, and the approximate calendar start and end dates. A business component is a product, process, computer software, technique, formula, or invention under §41(d)(2)(B).
- Wage data — Employee roster with title, department, annual W-2 Box 1 wages, and an allocation of each employee's time among (a) direct research (hands-on performance of qualified research), (b) direct supervision (first-line supervision of qualified research), and (c) direct support (clerical, admin, and support of qualified research). Section G requires wages reported at the business-component level and split among these three categories.
- Contract research — Third-party payments for research performed on the taxpayer's behalf, including vendor name, contract number, scope, and whether the taxpayer bears financial risk and holds substantial rights in the research results (both required for 65% inclusion under §41(b)(3)); 100% inclusion for qualified research consortia and certain energy-research consortia.
- Supplies and computer leasing — Supplies consumed in the conduct of qualified research (not capitalized), rental or lease costs of cloud computing used for qualified research (§41(b)(2)(A)(iii)), and any basic research payments to qualified organizations (§41(e)).
- Prior credit history — Prior four-year QRE base, fixed-base percentage election history (regular credit vs. Alternative Simplified Credit), and any prior §174 / §280C(c) conformity or reduced-credit elections.
- §174A posture — Whether the taxpayer will fully expense domestic R&E under §174A for 2025 and forward, whether the taxpayer is a small business electing retroactive §174A for 2022–2024, treatment of foreign R&E (still 15-year amortization under §174), and whether the taxpayer has unamortized §174 capitalized amounts from 2022–2024 that will be recovered under the OBBBA transition rule.
- Documentation artifacts — Project charters, stage-gate minutes, sprint retros, lab notebooks, CAD revisions, test plans, design reviews, bug trackers (Jira, Azure DevOps, GitHub Issues), and time-tracking exports. If artifacts are thin, the skill will flag evidentiary gaps rather than conclude.
- State-credit scope (optional) — States in which the taxpayer seeks a credit (e.g., CA FTB 3523, NY Form CT-3-B, TX 05-178, AZ Form 308), and whether state rules piggyback on federal §41 or follow their own definitions.

Process:
- Scope the engagement and credit methodology. Confirm the credit method (regular credit vs. Alternative Simplified Credit), the §280C(c) election (reduced credit in lieu of QRE addback), the controlled-group §41(f) aggregation scope, and whether the QSB payroll-tax offset election (§41(h), up to $500k against employer Social Security and Medicare) is available. Confirm the Section G filing posture — whether the taxpayer qualifies for the Section G exceptions (QSB electing payroll tax offset, or QREs ≤ $1.5M and gross receipts ≤ $50M at the control-group level on originally filed returns) and, if not, that Section G is mandatory for the filed year.
- Qualify each project under the four-part test (§41(d)). For every proposed business component, produce a qualification memo that walks through:
- Permitted Purpose — new or improved function, performance, reliability, or quality of a business component.
- Technical Uncertainty — information available at the start was not sufficient to know the capability, method, or appropriate design.
- Process of Experimentation — systematic evaluation of alternatives (modeling, simulation, trial-and-error, prototyping).
- Technological in Nature — principles of physical, biological, engineering, or computer science.
- Flag each exclusion that might apply: post-production activities, funded research, research after commercial production, duplicative research, surveys and studies, internal-use software (ITC) unless the §41(d)(4)(E) high-threshold-of-innovation test is met, social-science research, and research conducted outside the United States.

For the regular credit, compute the fixed-base percentage, the base amount (minimum 50% QRE floor), and the 20% incremental credit. For ASC, compute 14% of the excess of current-year QREs over 50% of average QREs for the prior three years (or 6% if no prior-3-year QREs). Compute the §280C(c) reduced credit if elected. Compute the QSB payroll-tax offset cap (lesser of the §41 credit and $500k) and reconcile it to Form 8974 for payroll-period application.
- Reconcile the §174A treatment. Under OBBBA, domestic R&E expenditures paid or incurred in tax years beginning after Dec. 31, 2024 are fully deductible in the year incurred under new §174A; foreign R&E continues to be capitalized and amortized over 15 years under §174. Identify any unamortized §174 basis from 2022–2024 that the taxpayer will recover under the transition rule, distinguish domestic vs. foreign R&E, and confirm the §280C(c) addback interaction (addback equals the credit claimed if §280C(c) election not made).
- Draft the retroactive §174A election memo (small-business path, if applicable). For a taxpayer with average gross receipts ≤ $31M for the three prior tax years (measured at the control-group level), draft an election memo and amended-return cover to retroactively apply §174A expensing to 2022, 2023, and 2024. Note the statutory election deadline (July 6, 2026), list the amended forms required (Form 1040-X / 1120-X / 1065 amended, Form 3115 if a method change is the chosen path rather than an election), and flag state conformity issues (not every state conforms to §174A on the same schedule).
- Write the Section G narratives. For each business component produce a two-to-four paragraph narrative covering: what the taxpayer was trying to discover, what technical uncertainty blocked a known solution, what alternatives were evaluated, and how the process of experimentation proceeded.
